Introduction and Acceptance of Terms Welcome to Accurate Digits. These Terms and Conditions ("Terms") govern your use of the numerical verification platform (the "Service") provided by Accurate Digits Pty Ltd ("Accurate Digits", "we", "us", or "our"). By using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use our Service.
User Eligibility

Authority to Bind: If you are using the Service on behalf of a company or organisation, you represent and warrant that you have the authority to bind that entity to these Terms. You agree that you have obtained all necessary internal approvals, such as purchase orders, before entering into this agreement.
Security of Your Account
a. Account Creation: To access the Service, you must create an account by providing a valid email address and creating a password. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
b. Password Reset: We will use your login and password to identify you when you return to our website. If you forget your login or password, you will not be able to access the Service. You may reset your password by clicking 'I've forgotten my password or login' on the login page.
c. Notification: You agree to immediately notify Accurate Digits of any unauthorised use of your account or any other breach of security. Accurate Digits or its affiliates will not be liable for any loss or damage arising from your failure to comply with this section. You may be issued a new password or required to change your password from time to time.
d. Security: We have implemented electronic, and managerial procedures to help safeguard and prevent unauthorised access, use, or disclosure of your personally identifiable information. Although we use reasonable efforts to safeguard your information, transmissions made through the internet and information stored on third-party servers are vulnerable to attack and cannot be guaranteed to be secure. Additionally, submissions made via email are not protected by encryption and are vulnerable to interception. Accurate Digits disclaims responsibility for all negligent acts that may result in the disclosure of your personal information.
Use of the Service
a. Permitted Use: You are granted a limited, non-exclusive, non-transferable, freely revocable license to access and use the Service for your business or personal use, in accordance with these Terms.
b. Prohibited Activities: You agree not to:
i. Share your account with others or allow unauthorized access.
ii. Upload, post, or transmit any content that contains personal information (as defined below) or that you do not have the right to upload.
iii. Use the Service to process any unlawful, defamatory, or infringing content.
iv. Reverse engineer, decompile, attempt to derive the source code of, modify, or create derivative works of the Service or any part thereof.
v. Access the Service for purposes of performance benchmarking.
vi. Access the Service for building or marketing a competitive product.
vii. Use the Service to store or transmit a virus or malicious code.
viii. Use a virtual private network (VPN) to circumvent geographic-based pricing or content access.
ix. Resell, distribute, or sublicense the Service to third parties.
x. Use the Service in any manner that could damage, disable, overburden, or impair our systems.
xi. Use any form of data mining, extraction, or scraping on the Service and its contents for machine learning or other purposes.
xii. Bypass any measures we may use to prevent or restrict access to the Service.

c. You have access to a free trial to assess the Service, including its suitability and fitness for your use. This allows you to determine if the Service meets your specific requirements before committing to a subscription.

d. We recommend that the final review of any outputs generated by the Service remains with a qualified human reviewer to ensure accuracy and appropriateness for your specific needs.
User Responsibilities
a. Content Uploads: You are solely responsible for all documents, data, and content you upload to the Service ("User Content"). Accurate Digits has no responsibility for such User Content.
b. Rights and Permissions: You represent and warrant that you have all necessary rights and permissions to upload the User Content, including obtaining consent from third parties where required.
c. No Personal Information: You must not upload any User Content that contains personally identifiable information ("PII") or personal data as defined under applicable laws, including but not limited to names, addresses, dates of birth, or any other data that can identify an individual.
d. Confidential Information: If you upload confidential or proprietary information, you acknowledge that such information may be processed by our AI tools and stored on our servers. However, we will not use your User Content to improve the Service, including AI model training and marketing materials, for 90 days from the date of upload. While we implement security measures to protect your data, we cannot guarantee absolute security.
Intellectual Property Rights
a. Service Ownership: All intellectual property rights in and to the Service, including but not limited to software, algorithms, design, and content, are owned by Accurate Digits or its licensors.
b. User Content: You represent and warrant that you either own all rights, title, and interest in your User Content or have secured all necessary rights and permissions to upload it to the Service. This includes obtaining any required consents from third parties whose content you upload or manage on their behalf. If uploading content on behalf of a third party, you must ensure that the third party has fully authorised you to grant Accurate Digits the rights specified here. You agree to indemnify and hold Accurate Digits harmless from any claims or liabilities arising from a failure to obtain such permissions. Accurate Digits is not liable for any claims made by third parties if permissions have not been properly secured by you. **

Ownership of User Content remains with you or the relevant third party. However, by uploading User Content, you or any relevant third party grant Accurate Digits a non-exclusive, worldwide, royalty-free, and irrevocable licence in perpetuity to use, process, store, modify, and reproduce this content for the purpose of providing, maintaining, and improving the Service, including analytics, AI model training, and creating marketing materials, without compensation to you or any third party.
c. Feedback: If you provide suggestions, ideas, or feedback, you agree that we may use such information without obligation to you, and you assign all rights in such feedback to us.
Subscription and Payment
a. Subscription Plans: We offer subscription plans with varying levels of access and page processing allowances ("Page Quotas"). Details of these plans are available on our website.
b. Free Trial: We offer a short-term free trial with a limited page processing allowance, details of which are available on our website. At the end of the trial, your credit card will be charged according to the subscription plan selected unless you cancel before the trial ends.
c. Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless canceled prior to renewal. By providing your payment information, you authorise us to charge your payment method for recurring payments.
d. Cancellation: You can cancel your subscription at any time via your account settings. If you cancel your subscription, you will not be entitled to a refund of any fees already paid, and any outstanding fees will become immediately due.

e. Downgrades: If you downgrade your subscription, you may be entitled to credits that can be used for future services. Credits will not be refunded for cash. Accurate Digits may apply any credits created by the downgrade against Usage-Based Consumption in the billing period prior to the downgrade where the Usage-Based-Consumption exceeds the elapsed time of the billing period prior to the downgrade. Usage-Based Consumption is calculated as Pages Used / Page Quota. In such cases, Accurate Digits will issue a manual invoice and apply any available credits to settle it. If the credits are insufficient, you must pay the outstanding amount within 30 days of the invoice date.
e. Pricing Changes: We reserve the right to change subscription fees at any time. We will provide at least two weeks' notice via email before any price change takes effect. Continued use of the Service after the price change constitutes your agreement to the new fees.
f. Payment Disputes: If you initiate a chargeback or dispute a payment, we reserve the right to suspend your access to the Service until the dispute is resolved. We may charge an administrative fee of AUD $50 for handling disputes. Consumption of any part of your page allowance constitutes use of the Service in addition to the passing of the billing period.
g. Taxes: Tax rates are calculated based on the billing information you provide and the applicable tax rate at the time of your subscription charge.
h. Billing Communications: You agree that Accurate Digits may contact you at any time by email or other methods with information relevant to your subscription, billing, and use of the Service.
Privacy and Data Protection
a. Privacy Policy: Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.
b. Data Processing: We process User Content to provide and improve the Service, which involves the use of third-party providers as set out in our Privacy Policy. These third parties may transfer and store data outside of Australia to provide their services.
c. User Consent: By uploading User Content, you consent to such processing and data transfers. You are responsible for ensuring that you have obtained any necessary consents from third parties whose information may be included in the User Content.
Changes to Terms
We may update these Terms from time to time. Any changes will be effective upon posting the revised Terms on our website. We will notify you of significant changes via email or through the Service. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
Governing Law and Complaints
a. Compliance with Applicable Law: You agree to abide by all applicable local, state, national, and foreign laws, treaties, and regulations in connection with your use of the Service. Accurate Digits agrees to abide by all applicable laws in connection with its provision of the Service.
b. Governing Law: These Terms are governed by the laws of New South Wales, Australia, without regard to its conflict of law provisions.
c. Complaints: If you have any disputes or concerns, please contact us at contact@accuratedigits.com, and we will attempt to resolve the dispute with you.
Disclaimers
a. Service Availability: We strive to keep the Service available, but we do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, the Service is provided on an “As Is” and “As Available” basis, without warranties or representations of any kind.
b. Disclaimer of Warranties: To the fullest extent permitted by law, Accurate Digits disclaims all warranties, representations, and conditions, either express or implied, including warranties of merchantability, non-infringement, or fitness for a particular purpose.
c. Service Modification: We reserve the right to modify or discontinue this Service at any time without notice. Statements, promises, or actions made by our customer service or sales representatives do not modify these disclaimers or the agreement.
d. Compatibility: Accurate Digits does not warrant that this Service or the servers that make the Service available will work with any particular hardware or software systems or configurations or are free of harmful components.
e. Accuracy of Results: Accurate Digits does not warrant or make any representations regarding the correctness, accuracy, or reliability of any outputs generated by the Service. The entire risk as to the quality and validity of this Service rests with you.
f. Accuracy of AI Outputs: The Service relies on AI technologies that are non-deterministic and may produce inaccurate or inconsistent results. We do not guarantee the accuracy, completeness, or reliability of any outputs generated by the Service.
g. No Professional Advice: The outputs provided by the Service are for informational purposes only and do not constitute professional advice. You should verify any outputs before relying on them for decision-making.
h. Data Transmission: Accurate Digits does not warrant that it will preserve or maintain your data without loss. Use of the Service involves transmission over networks that we do not own or control, and we are not responsible for data lost or intercepted during such transmissions.
Limitation of Liability
a. No Liability for Damages: To the maximum extent permitted by law, under no circumstances, including negligence, shall Accurate Digits be liable for any loss of use, loss of data, loss of income or profit, or loss of business opporutnities, loss of goodwill or reputation, damage to character, or loss of or damage to property, or for any damages (including compensatory, incidental, direct, indirect, special, punitive, or consequential damages), arising out of or in connection with your use of the Service, or the inability to sue, even if Accurate Digits has been advised of the possibility of such damages or losses. Without limiting the foregoing, Accurate Digits, is not responsible or liable for any infections or contaminations of your system, or delays, inaccuracies, errors or omissions arising out of your use of this Service.
b. Limitation of Liability: Applicable law may not allow certain limitations or exclusions of liability, but in no event shall the total liability of Accurate Digits exceed the lesser of the amount paid by you in connection with your access during the preceding twelve-month period or US$100.
c. Indirect Damages: Accurate Digits, its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising from your use of the Service.
d. User Content: Accurate Digits is not responsible for, and assumes no liability for the content of User Content.
Indemnity
You agree, to the extent permitted by law, to defend, indemnify, and hold harmless Accurate Digits, its affiliates, officers, directors, agents, licensors, and employees from any loss, liability, claim, demand, damages, costs, and expenses (including legal fees) resulting from or related to (i) your violation of these Terms, (ii) your use of the Service, (iii) any violation of law or rights of third parties, and (iv) any damages, liabilities, or claims related to User Content, including but not limited to any failure to obtain necessary permissions or compliance with Section 5 (User Responsibilities). You must use your best efforts to cooperate with Accurate Digits in the defense of any claim. We reserve the right to assume the exclusive defense of any matter subject to indemnification by you.
Termination
These Terms take effect the first time you access the Service and shall continue until (i) if you are a paid subscriber, the expiration or termination of your subscription, or (ii) if you are on a free trial, the expiration or termination of the trial.
a. By Accurate Digits: We may terminate or suspend your access to the Service immediately, without prior notice, if you breach any of these Terms or for any other reason at our sole discretion.
b. Effect of Termination: Upon termination, your right to use the Service will immediately cease.
c. Survival of Terms: Sections titled "Termination," "Subscription and Payment," "Intellectual Property Rights," "Limitation of Liability," "Indemnification," "Governing Law and Complaints," "Disclaimers," and "Miscellaneous" (specifically Severability, Waiver, and Notices) shall survive termination.
d. Data Access: Upon termination of your subscription, you will lose access to User Content and other information uploaded to the Service, and such data may be deleted unless legally prohibited. User Content may continue to be available even after termination.
e. Violation: If your account has been terminated due to a violation, you may not create a new account without written permission from Accurate Digits.
Assignment
Accurate Digits may assign or transfer its rights and obligations under these Terms without your consent. You may not assign or transfer your rights without our prior written consent.
Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and Accurate Digits regarding your use of the Service and supersede any prior agreements.

Miscellaneous
a. Severability: If a provision of these Terms is found to be invalid or unenforceable, it shall not affect the other provisions, and the Terms shall be construed as if that provision had been omitted or limited to the minimum extent necessary.
b. Waiver: Accurate Digits' express waiver or failure to enforce any provision of these Terms shall not be construed as a present or future waiver of such provision nor affect our ability to enforce any provision thereafter.
c. Notices: All required notices to you will be sent to the email address associated with your account or through other legally permissible means.
d. Changes to the Service: Accurate Digits may add, change, or remove features or functionality to the Service; modify or introduce limitations; or discontinue the Service at any time. If Accurate Digits discontinues the Service you are using during your subscription, we will migrate you to a similar service if available or provide a pro-rata refund of prepaid fees for the remaining subscription period, adjusted based on the time elapsed or the proportion of services consumed.
